Dangote Refinery’s N2.15 Trillion IPO Closes Today as Investors Make Final Push

Posted on October 27, 2026October 27, 2026 By Rextun boss No Comments on Dangote Refinery’s N2.15 Trillion IPO Closes Today as Investors Make Final Push

LAGOS, Nigeria — The highly anticipated initial public offering (IPO) of Dangote Petroleum Refinery and Petrochemicals FZE closes today, Tuesday, October 27, 2026, bringing to an end a six-week subscription window that has offered investors an opportunity to acquire shares in one of Africa’s most significant industrial projects.

The offer, which commenced on September 14, was initially scheduled to close on October 13. However, the company secured approval from the Securities and Exchange Commission (SEC) to extend the deadline by two weeks to enable more investors across Africa to participate. confirmed the revised closing date.

The public offer comprises 4.1 billion ordinary shares priced at ₦525 per share, representing an offer value of approximately ₦2.15 trillion. Under the offer terms, investors can apply for a minimum of 10 shares at ₦5,250, providing a relatively accessible entry point for individual investors seeking exposure to the refinery’s business.

The IPO represents a significant development for Nigeria’s capital market because it opens participation in a major domestic refining business to eligible public investors. Aliko Dangote, president of Dangote Industries Limited, has presented the share sale as an opportunity for Nigerians and other eligible investors to participate in the ownership and potential future growth of a strategic African industrial asset.

According to the company’s explanation of the extension, the additional two weeks were intended to widen access to investors in other African markets, expand distribution channels and facilitate cross-border participation through depositary receipt arrangements. The extension was also designed to give prospective subscribers more time to complete account opening, identity verification and other regulatory requirements.

The offer has attracted considerable attention because of the refinery’s economic significance. Located in the Lekki area of Lagos State, the facility began operations in 2024 and has been positioned as a major contributor to Nigeria’s ambition to reduce dependence on imported refined petroleum products while strengthening domestic supply and export capacity. Its development has also drawn attention to the role of large-scale private investment in the country’s energy and industrial sectors.

For investors considering the offer, today’s deadline makes the remaining subscription window particularly important. Prospective applicants need to complete their applications through the designated and approved receiving agents or electronic subscription channels before the offer closes. The refinery’s official IPO website directs applicants to the authorised channels and provides access to the offer prospectus.

The SEC has cautioned the investing public against fraudulent platforms, unauthorised intermediaries and individuals who claim they can guarantee share allotments. The regulator has advised prospective investors to verify subscription channels, rely on official information and carefully review the prospectus before committing funds. Investors should avoid sending money or sensitive financial information to unverified persons or websites.

Attention will subsequently shift to the allocation process. According to the revised indicative timetable, the collation of subscription returns is scheduled for November 3, while the submission of the proposed basis of allotment to the SEC is scheduled for November 10. The regulator’s no-objection to the allotment proposal is expected on November 17, subject to the timetable and any subsequent adjustments by the relevant parties.

The timetable also provides for the publication of the allotment announcement and transfer of the net offer proceeds to the refinery one business day after the allotment date. Refunds for rejected applications or surplus subscription monies are scheduled within five business days after allotment, while the crediting of successful applicants’ Central Securities Clearing System accounts and commencement of trading are indicated for 15 business days after allotment. These dates remain subject to the offer’s formal terms and any authorised changes.

As the subscription period ends today, the Dangote Refinery IPO stands as a closely watched test of retail investor participation and the capacity of Nigeria’s capital market to mobilise domestic and regional investment for large-scale industry. While the offer provides an opportunity to acquire an ownership stake, prospective investors should remember that share prices can fall as well as rise and returns are not guaranteed. The ultimate significance of the transaction will depend not only on investor participation but also on the refinery’s financial performance, corporate governance and ability to deliver sustainable value to shareholders over time.
